Michael is the head of the Corporate and Commercial Team and the joint head of the Commercial Services Practice Group at JCP Solicitors.
With over 9 years experience of Corporate and Commercial transactions Michael has built up a portfolio of business clients who come from all over England and Wales (and as far afield as Canada and Saudi Arabia) for his expertise. His particular area of specialism is buying and selling businesses and he regularly holds workshops and writes articles on the subject.
Michael deals with and supervises a wide variety of business and commercial work, some examples of which include:
Business sales – From engineering companies to nursing homes to retail businesses and management buy-ins.
Acquisitions – including multi-national, large food retailers, veterinary practices and acquisition of one of Wales’ few working deep coal mines
Joint venture, shareholders’ and partnership agreements, third party funding arrangements and investments
Company incorporations, reorganisations, advice on directors’ duties, share issues and compliance with governing documents
Commercial agreements – supply agreements, equipment leases, terms of business, loan and security agreements
Shareholder and partnership disputes
Advice to charitable organisations in relation to their constitutions, guiding them through the registration process, commercial trading arrangements in relation to subsidiaries, ongoing routine advice and dealing with the Charity Commission. Michael is also company secretary of the Dylan Thomas Prize
